Rize Exchange – Terms of Use

1. Definitions

  • User/You/Your: Any individual or legal entity accessing or using the Platform or Services.
  • Account: Your registered account on Rize Exchange.
  • Institutional Account: An Account held by a legal entity, with authorised representatives.
  • Individual Account: An Account held by an individual.
  • Reference Assets: Certain Virtual Digital Assets (VDAs) whose market prices are used as benchmarks for Rize Exchange’s derivative contracts. Rize does not offer spot trading or custody of VDAs.
  • Products: The financial instruments offered on the Platform (e.g. futures, options).
  • Deposit Bank Account: The bank account you use to deposit INR (or other approved currency) into your Rize Exchange Account.
  • Withdrawal Bank Account: The bank account where you receive withdrawals.
  • Restricted Jurisdiction: Any country, territory or jurisdiction from which use of Rize Exchange is prohibited.

2. Applicability & Acceptance

  • By using the Platform or opening an Account, you agree to these Terms, and any other documents incorporated by reference (e.g. Privacy Policy, Risk Disclosure, Affiliate / Referral Program terms, etc.).
  • We may modify, amend, or update these Terms from time to time. If we do, we will notify users via the Platform or other communication channels. Your continued use after changes indicates your acceptance of the new Terms.

3. Eligibility & Account Registration

  • You must be of legal age (at least 18 years old) and have legal capacity to enter into binding agreements.
  • You must complete all required Know Your Customer (KYC), Anti–Money Laundering (AML), and identity verification processes.
  • You must provide accurate, complete, and up-to-date information. Any misrepresentation or omission may lead to suspension or termination of your Account.
  • If you are an institutional user, you must have authorised representatives and legal capacity under your jurisdiction’s law to enter into these Terms.

4. Restricted Jurisdictions

  • Access or use of Rize Exchange is not permitted from Restricted Jurisdictions.
  • If you reside or are located in a Restricted Jurisdiction, you agree not to open or maintain an Account. If we discover that you are from such a jurisdiction, we may suspend or terminate your Account.

5. Account Security & Use

  • You are responsible for keeping your login credentials secure. Use of two-factor authentication (2FA) is strongly encouraged (or required as determined by Rize).
  • You must notify Rize immediately if you suspect any unauthorised access, loss of credentials, or any other security breach.
  • All actions made through your Account are deemed to be authorised by you. You are responsible for any losses arising from misuse or unauthorized activity.

6. Deposits, Withdrawals & Funds

  • Deposits must be made from your verified Deposit Bank Account; withdrawals must go to your verified Withdrawal Bank Account.
  • Rize may charge fees, processing times, and minimum thresholds for deposits and withdrawals.
  • Deposits are credited only after verification and compliance checks. Rize shall not be liable for delays caused by third-party banks or regulatory holds.
  • You represent that funds deposited are not proceeds of illegal activities.

7. Risks & No Advice

  • Trading crypto-based derivative contracts (futures and options referencing VDAs) carries significant risk including market risk, counterparty risk, liquidity risk, technical risk, and you should only trade with funds you can afford to lose.
  • All information provided by Rize (price data, charts, etc.) is for educational or informational purposes only. Nothing constitutes financial, investment, legal or tax advice. You should seek independent professional guidance if needed.

8. Prohibited Activities & Misconduct

  • Market manipulation or attempts to disrupt fair market operations.
  • Money laundering, terrorist financing, or any other unlawful activity.
  • Use of compromised or non-secure devices.
  • Misrepresentation, deceptive marketing or spam.
  • Use of the Platform to compete with Rize or replicate its features, UI, or services.
  • Violations of any applicable law or regulation.

9. Suspension, Termination, Account Breach

  • Rize may suspend or terminate Accounts, related Accounts, or associated privileges if you breach these Terms, violate laws, or engage in misconduct.
  • You may also close your Account any time, subject to completing or liquidating open positions and withdrawing your funds per policy.
  • Upon termination, Rize will return your Account Equity (after deducting any owed fees or charges), subject to verification and regulatory compliance.

10. Intellectual Property

  • Rize (and its licensors) retains all rights, title and interest in the Platform, its content, software, trademarks, and other intellectual property.
  • You may not copy, reproduce, modify, distribute, or use any of Rize’s IP without express written permission.

11. Liability & Indemnification

  • To the fullest extent permitted by law, Rize is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use (or inability to use) the Platform.
  • Your maximum liability shall not exceed the total fees paid by you in the preceding 3 months or such other limit as specified in applicable law.
  • You agree to indemnify Rize for any losses, claims, damages, liabilities arising from your violation of these Terms or misuse of the Platform.

12. Dispute Resolution & Governing Law

  • These Terms shall be governed by the laws of India.
  • Any dispute arising out of or in connection with these Terms shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996, with seat in New Delhi (or another city you prefer), and in the English language.

13. Miscellaneous

  • Force Majeure: Rize is not liable for delays or failure caused by events beyond its reasonable control (e.g. natural disasters, government actions, network failures, etc.).
  • Severability: If any provision is invalid or unenforceable under applicable law, it will be struck out or modified; remaining provisions shall continue in full force.
  • Assignment: You may not assign your rights or obligations under these Terms without Rize’s prior written consent; Rize may assign or transfer its rights.
  • Notices: Communications from Rize may be via email, notices on the Platform, or other means; you are responsible for keeping contact information current.
